This License Agreement (“Agreement”) is a legal contract between Vista Sketch (“Licensor,” “we,” “us,” or “our”) and the client (“Licensee,” “you,” or “your”) who purchases or uses any design, artwork, digital product, or creative service from Vista Sketch.

By engaging with our services, purchasing digital content, or using any of our deliverables, you agree to the terms and conditions outlined below.


1. Grant of License

Upon full payment and completion of a project, Vista Sketch grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the final deliverables created by Vista Sketch for the purpose specified in the project agreement or proposal.

This license is limited to the scope of use defined in the client’s project, including (but not limited to) branding, marketing, advertising, social media, packaging, or web display.


2. Ownership Rights

  • All intellectual property rights, including design files, concepts, drafts, and source materials, remain the sole property of Vista Sketch until full payment is received.

  • Upon full payment, ownership of the final approved deliverables is transferred to the client only for the specific use defined in the agreement.

  • Vista Sketch retains the right to:

    • Display the work in portfolios, websites, and promotional materials.

    • Use the project as part of case studies, marketing campaigns, and award submissions.

Preliminary files (e.g., sketches, mockups, layered source files, or drafts) are not automatically transferred unless specified in the agreement.


3. Scope of Use

The Licensee may use the final deliverables solely for their intended business or promotional purposes.
The Licensee may not:

  • Resell, redistribute, or sub-license the design or creative materials.

  • Modify or adapt the design for uses outside the approved scope without written consent.

  • Use the deliverables for illegal, defamatory, or unethical activities.

  • Claim authorship or ownership of Vista Sketch’s work.

If broader rights (such as full commercial resale or exclusive use) are required, an extended license or buyout fee may apply.


4. Source Files and Editable Assets

Editable files (e.g., PSD, AI, or project source files) are not included in standard project deliverables unless:

  • It is specifically included in the agreement, or

  • An additional fee is paid for full source file release.

Once released, Vista Sketch is not responsible for any alterations or damages resulting from third-party modifications.


5. Third-Party Resources

Some projects may include stock photos, fonts, icons, or plugins that are licensed from third-party providers.
Such items are subject to their respective license terms and are not owned by Vista Sketch.
The Licensee is responsible for ensuring continued compliance with those licenses if used beyond the initial project scope.


6. Duration and Termination

This license remains in effect indefinitely unless:

  • The Licensee breaches any part of this Agreement, or

  • The project scope explicitly defines a limited-use period.

In case of breach, Vista Sketch reserves the right to terminate the license immediately and pursue legal remedies if necessary.


7. Attribution

Unless otherwise agreed in writing, Vista Sketch may include a small credit line (e.g., “Designed by Vista Sketch”) on digital or print materials.
Licensees may not remove such credit lines without prior written approval.


8. Warranties and Limitations

Vista Sketch warrants that:

  • The deliverables are original and not intentionally copied from other sources.

  • Any third-party assets used are properly licensed for commercial use.

However, Vista Sketch does not guarantee:

  • That the work will achieve specific business results or marketing outcomes.

  • Compatibility with all devices, platforms, or printing processes unless explicitly tested and approved.


9. Liability

Vista Sketch shall not be liable for:

  • Any loss of profits, data, or opportunities arising from the use of the licensed materials.

  • Any issues resulting from modifications or misuse of the deliverables after delivery.

The Licensee’s sole remedy for any claim related to this Agreement shall not exceed the total fees paid for the project.


10. Transferability

This license is non-transferable.
The Licensee may not assign, transfer, or sublicense any rights granted under this Agreement without prior written consent from Vista Sketch.


11. Governing Law

This Agreement shall be governed and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles.
Any disputes arising under this Agreement will be handled exclusively in the courts located in Dhaka, Bangladesh.


12. Entire Agreement

This License Agreement, together with any project proposal or service contract, constitutes the entire agreement between Vista Sketch and the Licensee.
No other oral or written statements shall override the terms set herein unless mutually agreed upon in writing.

14. Renewal and Service Notification

For any renewable services such as domain registration, web hosting, maintenance, or email services, Vista Sketch will notify the client in advance regarding renewal dates and updated service prices.
Notifications may be sent through email, phone call, or WhatsApp message by our Admin or Support Team.

It is the client’s responsibility to ensure that their contact details (email, phone number, WhatsApp) remain active and up to date to receive timely renewal notices.
Failure to respond or make payment by the renewal deadline may result in service suspension or expiration, for which Vista Sketch will not be held responsible.
